An exciting opportunity to join an entrepreneurial, fast paced, well regarded Financial Institution!

Our Client, a leading Canadian financial institution is seeking to add a Legal Counsel with 2-5 years of post qualification experience to their Toronto Legal Team.

Working under the direction of the VP, Legal and Compliance, the successful candidate will provide legal advice to the various departments of the Bank on an as-needed basis. The Legal Counsel will proactively identify potential areas of legal concern and address these issues including privacy issues before they become problems and report such concerns to the Manager and/or the Business as applicable.


As Legal Counsel, you will:

- Provide General Legal advice to all aspects of the business
- Review and/or create contracts and other agreement documents and participate in contract negotiation where required
- Draft/review business documents and agreements including but not limited to: account terms, account opening forms and corporate policies and procedures
- Ensure that appropriate individuals execute contracts
- Review new or changed legislation and determine impact on business
- Provide support, assistance and notification of ongoing legal matters to Management in a (a) proactive and (b) independent manner
- Engage and be an active member of Bank projects as applicable and coordinate and engage in department projects
- Complete ad hoc requests from the Head of the Department and other members of the Senior Executive Team
- Have the ability to identify areas of inefficiency within the business from a legal perspective
- Assist the Bank with the development and implementation of a variety of initiatives both of a legal and non-legal nature

- Have a JD or LL.B.
- Have 2-5 years minimum experience in the role of Corporate Counsel or in Private Practice with a focus on corporate/financial services and/or regulatory law
- Are a member in good standing of the Law Society of Upper Canada
- Proven ability to develop and implement legal strategies and solutions
- Have proficient Written and Verbal communication skills including:
the development and delivery of presentations;
creation, composition and editing of legal opinions and other written materials;
the drafting of legal documents, legal responses, position statements and memoranda
- Have specialized knowledge of or familiarity with, governmental regulatory structures Excellent analytical, investigative and organizational skills
- Are Bilingual in French and English is an asset, not required (the ability to analyze review and translate French documentation from time-to-time is desired)
- Are a team player, Results-Oriented, Entrepreneurial
