Our client is an established global consulting and property development company with over 1000 employees, which provides design and implementation of integrated building and engineering solutions for many high profile construction projects around the world.

They are seeking a Contracts Specialist to join their growing legal team in Toronto. The ideal candidate has experience in corporate commercial law and contracts administration. A unique opportunity to work in a reputable company that fosters excellence and promotes work-life balance!

Role and responsibilities:
- Draft, review, negotiate and execute contractual agreements for architectural and engineering, consulting and construction prime and sub-contracts
- Manage the proper and timely administration of contracts, including changes, to ensure compliance with company policies, legal requirements, insurance policies, and customer specifications

- Ensure all prime contracts with Clients are fair and are reviewed, edited, and signed by all parties

- Structure client transactions to be most advantageous from a contracting and business perspective.
- Represent the company’s interests and interface directly with client negotiating teams.

- Coordinate with all business units to ensure that all significant project contract issues are communicated and adhered to.

- Work with Construction Project Managers in the coordination and preparation of Construction Management contracts.
- Work with Consulting Project Directors and Project Managers in the coordination of prime Owner-Consultant contracts and sub consultants contracts.
- Educate company professionals in regard to contracting and risk management.

- Participate in developing internal guidelines, toolkits, and packaged knowledge capital in various legal and business issues.

- Provide contract support including single point of contact interfacing to the business or management.
- Identify problem areas, discuss, and implement remedies and solutions as may be required to assist the Project Team.

- Develop contracting strategies and provide proposal support in the area of evaluating risk and determining appropriate terms for proposals.
- Review RFPs and proposals to ensure compliance with terms, conditions and company policies.
- Ensure that all insurance, bonding, and contractual requirements are in place at the start of the project.
Maintain good relationship with the insurance and bonding group.

- Attend progress meetings before, during, and after the contract negotiation stage to exchange information and resolve issues or concerns with various key stakeholders. Prepare and issue meeting minutes, relay information to stakeholders, ensure projects adhere to contractual requirements and resolve issues in a timely manner.
- Day to day interface with Project Managers, Principals, and Vice President Operations

- Coordinate with legal counsel to ensure that a Prime Contract/Subcontracts are negotiated in an ethical, fair, and business-like manner with Clients and Sub-trades/Sub-consultants.

- Other legal affairs responsibilities, as required, for instance corporate secretarial duties, litigation management etc


The ideal candidate has:

- a JD from a recognized university and preferably called to the Law Society of Upper Canada
- at least 4 years experience in corporate commercial law; drafting, reviewing, negotiating and executing private or Canadian government contractual agreements in the construction industry
- experience independently managing and drafting transactional documents and correspondence

- proven ability to efficiently manage a large volume of complex transactions
- excellent interpersonal, communication, and organizational skills
- excellent problem solving skills and demonstrated ability to present alternatives and propose solutions

- strong analytical, drafting, and negotiating skills are essential

- advanced knowledge of Microsoft Office and computer skills to produce reports, documents, and presentations.
- background in architecture, engineering, or construction is an asset
