Overview

Our client, a technology driven oil services company, is seeking a Legal Director to join its business team. This is a Hybrid role located in Calgary, Alberta. This position is seeking a Corporate/ Commercial lawyer with 5-10 years of experience, with some experience working In House.

The successful candidate will be the internal legal expert working with senior leadership, handling all manners of corporate and commercial issues including commercial contracts, risk assessments, employment, and IP matters. 

This is a newly created expansion role and will be best suited for someone with experience working in an IH commercial position prior. 
 
Your role will include:
  • Drafting, reviewing, negotiating, and implementing all commercial contracts including vendor agreements, NDAs, MSAs, and other client-facing and operational contracts
  • Coordinating and working closely with outside counsel on IP matters, Government reporting, HR documents, and other standard agreements
  • Acting as the point of contact for outside counsel for any litigation and M&A
  • Identifying and mitigating business risk of a growing company in a specific industry space (oil and gas technology, working cross-border)
  • Supporting legal and HR documentation with management and external employment counsel
  • Working alongside HR to craft employment contracts
  • Policy review, issue spotting, internal government support, and dispute management
  • Building and improving legal processes, policies, procedures, and templates with an eye to supporting scaling of the business
  • Tracking and ensuring all business reporting requirements are met for things like IP and patents and government grants
  • Serving as a trusted advisor to provide clear practical guidance while supporting commercial execution
You are the ideal candidate if you have/ are:
  • A member in good standing with the Law Society of Alberta (or another Canadian Bar with the ability to be licensed in Alberta)  with 5-10 years of relevant legal experience, ideally with some experience in an in house environment
  • Experience working with a broad range of commercial agreements, including technology agreements
  • Experience with M&A
  • Strong organizational, communication, and advisory skills
  • Business acumen and experience analyzing and advising on risk
  • Experience with government regulation and grants (including SRED) would be an asset
  • Exposure to IP prosecution would be an asset

The expected compensation range is: $140,000-175,000, depending on experience and qualifications. Total compensation will include base salary, annual bonus, and other benefits.
