General Counsel
Overview
Are you an entrepreneurial lawyer who thrives in a fast-paced environment and wants to be a true partner to a business?Our client, a developer and owner of telecommunications infrastructure, is looking to add a high-energy, entrepreneurial-minded General Counsel to their team.
Reporting directly to the CEO, as General Counsel, you will wear many hats and be responsible for providing expert advice to senior management. As the primary in-house legal resource, you will oversee and manage a broad and evolving portfolio of legal matters impacting the company, while you help build a national platform from the ground up. Your day-to-day will be a mix of high-level strategy and hands-on execution.
Your role will include:
- Real Estate & Leasing: Leading the negotiation and drafting of complex land leases, license agreements, and other documents essential for development.
- Commercial Contracts: Drafting, reviewing, and negotiating a wide variety of agreements, including MSAs, vendor contracts, and construction agreements.
- Corporate Governance: Assisting with corporate secretarial functions and ensuring compliance with internal policies and external regulations.
- Strategic Support: Providing legal oversight for project financing, M&A activity, and partnerships alongside the executive team and financial sponsors.
- Regulatory & Compliance: Navigating the telecommunications regulatory environment and managing risk across the national portfolio.
- Outside Counsel Management: Acting as the point of contact for external counsel when specialized expertise is required, ensuring cost-effective and high-quality delivery.
You are the ideal candidate if you have/are:
- JD and a member in good standing of the Law Society of Ontario
- 5-10 years of experience, with a focus on real estate, development and corporate/commercial law
- Excellent communication skills and the ability to translate legalese into actionable business advice for operations and development teams
- Experience in the telecommunications or infrastructure space is an asset
- An entrepreneurial mindset and enjoy the "scrappy" nature of a growing business
- Able to easily pivot between tasks and manage multiple competing priorities
- An analytical thinker with strong conceptual and problem-solving skills
- Excellent negotiation skills
