Legal Counsel or Senior Legal Counsel

Overview


This is an exciting opportunity to join the existing legal department of a large, well established company and work as a Legal Counsel or Senior Legal Counsel (as applicable)  and report directly to their VP, Legal. This Legal Counsel or Senior Legal Counsel will play an integral role within the team and work on a variety of corporate and commercial matters, including: commercial agreements, m & a transactions, compliance, IP and data privacy. Responsibilities
  • Draft and negotiate  commercial agreements, such as sales, service, licensing, advertising and employment contracts and ensure compliance with regulatory needs;
  • Advise and support re: corporate transactions, including mergers and acquisitions;
  • Manage intellectual property matters, including the trademark portfolio, and copyright matters;
  • Provide strategic guidance to stakeholders and business units on legal matters;
  • Draft and review employment, consulting, and independent contractor agreements;
  • Identify and implement technology-driven solutions, such as AI tools, to improve legal operations and efficiency;
  • Work collaboratively with legal team members and provide guidance to team members as required; and
  • Review and update contract templates re: evolving requirements and support improvements regarding the contract management system and privacy policy.
 
  
Requirements:
  
The ideal candidate will have/be:
 
  • Member in good standing of Quebec Bar;
  • Additional qualifications in Common Law and/or admission to practice in a U.S. jurisdiction an asset;
  • Approximately 2–4 years (Legal Counsel) or 5-8 years (Senior Legal Counsel) of pertinent experience gained in a law firm, an In-House legal team, or a combination of both;
  • Experience in commercial matters, corporate transactions (ex: mergers and acquisitions) and IP.
  • Exceptional communication, drafting  and interpersonal skills;
  • Motivated and can work effectively in a team dynamic;
  • Strong business acumen and can work effectively with various stakeholders; and
  • Ability to effectively handle competing priorities.
