Our client, a well-established full-service law firm, is seeking an experienced Corporate Law Clerk to join its growing full-service practice. This is an excellent opportunity for a motivated legal professional who enjoys working on a broad range of corporate and commercial matters, transactions, resolutions and incorporations.
The successful candidate will play a key role in supporting lawyers and clients by maintaining corporate records, preparing transactional documents, and assisting with sophisticated corporate and tax-driven reorganizations. The ideal candidate is highly organized, detail-oriented, and capable of managing multiple priorities in a fast-paced environment.

 
Responsibilities:
 
This role will include:
  • Reviewing, analyzing, and summarizing corporate minute books and records;
  • Preparing and filing Articles of Incorporation, Amendment, Continuance, and Amalgamation;
  • Preparing and filing extra-provincial registrations and related corporate filings across all Canadian jurisdictions;
  • Drafting corporate resolutions and corresponding documentation;
  • Preparing documentation relating to share and asset purchase transactions;
  • Reviewing planning memoranda from lawyers and accountants relating to tax-driven corporate reorganizations and preparing the documentation required to implement proposed structures;
  • Preparing and organizing corporate records, including share issuances, changes to directors, officers, shareholders, and registered offices;
  • Maintaining and managing corporate minute books and records;
  • Conducting legal and regulatory research related to corporate law matters;
  • Preparing securities law documentation and completing filings through SEDAR+; and
  • Communicating effectively with clients, lawyers and stakeholders.
 
Requirements:
 
You are the ideal candidate if you have/are:
  • 5+ years of experience as a Corporate Law Clerk, acquired in a law firm or In House;
  • Completion of the ILCO Certification Program or a recognized Law Clerk diploma/program;
  • Strong knowledge of federal and provincial corporate statutes and regulations;
  • Transactional experience, including corporate reorganizations and business sales and acquisitions.
  • Excellent written and oral communication skills.
  • Highly organized with strong attention to detail and the ability to manage competing deadlines
  • Reliable, client-focused, and able to work both independently and collaboratively; and
  • Proficient in Microsoft Office and case management software for scheduling and document preparation
