Overview

Our client, a leading company with worldwide operations, is currently seeking a lawyer to occupy this integral new position and be the lead lawyer within the organization and work as the Director, Legal Affairs / Counsel and report directly to their CFO. This exciting opportunity will allow this lawyer to occupy a significant role and provide legal advice to company executives, evaluate legal risks and ensure an effective compliance system. This is a hybrid position.


Responsibilities

•Review, draft and negotiate significant technology agreements (such as licensing, hosting and professional services contracts);
•Be part of the team re: merger and acquisitions, divestures, stock purchases, strategic investments, joint ventures and other corporate transactions;
•Provide general legal advice to company executives on varied matters;
•Act as the privacy officer;
•Oversee the company's IP portfolio, copyrights and trademarks and retain corporate records;
•Direct and coordinate with external legal counsel as needed;
•Ensure that commercial contracts and terms are continuously improved, and standardized;
•Work cohesively with the operations team to establish and implement contract processes re: technology sales, services, procurement and partnership agreements;
•Identify legal risks and develop solutions;
•Oversee corporate secretarial matters;
•Remain current re: applicable evolving rules, regulations and legislations etc.; and
•Provide assistance re: varied legal projects and regulatory law matters.

Requirements

The ideal candidate will be/have:

• A member in good standing of the Quebec or Ontario Bar;
• Approximately 5-8 years of pertinent legal experience acquired at a leading law firm or company;
• Strong understanding of corporate, commercial, contract and IP law matters, with experience drafting and negotiating technology-related subscription agreements re: cloud-based offerings;
• Experience drafting and reviewing transaction documents and overseeing mid-sized deals;
• Strong understanding of information security compliance;
• Solid team player, able to work in a fast-paced work environment with strong interpersonal skills;
• Ability to work autonomously and with minimal supervision;
• Entrepreneurial with strong business acumen and communication abilities; and
• Bilingual.
