Legal Counsel

Overview

This is an excellent and unique Legal Counsel opportunity to join the legal team of this dynamic and collegial public company. This lawyer will provide legal advice on a variety of commercial matters and transactions, including corporate and regulatory files. This is an exciting hybrid position that can be based in various Canadian cities, including Montreal, as well as in Ontario, BC or on the East Coast.
  

Responsibilities:
  
  • Provide legal advice on diverse legal matters, including: various local and international commercial agreements, corporate governance, corporate finance, IP/licensing and corporate structures;
  • Review complex commercial agreements and provide support re: contract negotiations;
  • Advise re: corporate transactions, such as mergers and acquisitions, joint ventures and various strategic initiatives;
  • Support the security and compliance department;
  • Oversee and act as the liaison with external counsel as applicable;
  • Assist with the development, review and implementation of company policies and particular agreements; and
  • Provide guidance re: potential litigation matters.

Qualifications:

The ideal candidate will have/be:
  • A law degree from an accredited law school and be a member in good standing with a Canadian provincial Bar;
  • Approximately 2-5 years of pertinent legal experience working at a well established law firm or In House with expertise acquired in commercial agreements and corporate transactions;
  • Expertise in high technology matters, defence or aerospace is considered an asset;
  • Strong business acumen and ability to effectively handle competing priorities;
  • Solid communication, analytical and interpersonal skills;
  • Excellent problem solving abilities, be solution oriented and demonstrate strong attention to detail; and
  • Ability to work autonomously and collaborate as a team.
