Corporate and Commercial Law Clerk

Overview

Our client, an established Toronto company in the Energy Services sector, is looking to add a Corporate and Commercial Law Clerk to the team. As Corporate and Commercial Law Clerk, you will be responsible for offering contractual assistance to the company sales and client relations departments, alongside occasional aid to the General Counsel on corporate and legal affairs. This position mandates a robust understanding of corporate and commercial law, exceptional time management abilities, and keen attention to detail. This is a hybrid position.

 
Responsibilities    

In this role you will be responsible for:
  • Collaborating with the General Counsel, department heads, sales representatives, and relevant stakeholders to draft and review a wide range of contracts.
  • Assisting the General Counsel and other stakeholders in enhancing legal workflows and procedures.
  • Drafting and reviewing various corporate documents and agreements, such as resolutions for directors/shareholders, annual filings, non-disclosure agreements, and supply agreements, among others.
  • Interpreting and summarizing contract terms for internal departments as needed.
  • Updating standard contract templates and managing the company's contract and corporate records.
  • Providing assistance to the General Counsel on various legal matters, including litigation and regulatory issues, as required.
  • Performing other related tasks as needed.
 
Requirements    

You are the ideal candidate if you have/are:
  • Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario;
  • 5+ years of contract drafting and contract management experience.
  • Previous involvement in drafting commercial agreements.
  • Outstanding oral and written communication abilities.
  • Exceptional time management skills and decision-making capacity to handle conflicting tasks and adhere to crucial deadlines.
  • Capability to proactively initiate tasks and cultivate constructive relationships with internal departments.
  • Proficiency in MS Word, PowerPoint, Excel, Adobe Acrobat
  • Strong attention to detail.
