Overview

Our client is seeking a talented legal professional to join the Legal Team and support their commercial growth. As a member of the Legal Team, the Corporate Counsel is primarily responsible for reviewing, drafting and negotiating commercial agreements on behalf of the client in support of the sales team. The Corporate Counsel will develop contract templates and model provisions for inclusion in agreements. The Corporate Counsel will also be responsible for providing legal input to other company departments.


Responsibilities

· Drafting and negotiating a wide variety of commercial and client-facing tech transactions typical to the IaaS, PaaS, SaaS technology sectors.
· Drafting and negotiating Subscription Agreements, Services Agreements, and Data technology partnership agreements.
· Drafting and negotiating Data Privacy, Processing Agreements and Security Agreements.
· Designing and/or implementing processes and best practices relating to contract risk management.
· Drafting, reviewing, and negotiating complex client technology transactions to be most advantageous from a legal and business perspective.
· Drafting, reviewing, and negotiating contracts for other areas of the company's business, including vendor agreements, licensing agreements, technology agreements, contractor agreements, and non-disclosure agreements.
· Developing model forms and templates for various contractual arrangements.
· Supporting other departments’ internal legal needs.
· Providing legal training to the Sales, Finance, HR, Security, Account Management, and other teams.

Requirements

You are the ideal candidate if you are/have:

· A J.D. from an accredited law school.
· Licensed to practice law in at least one Canadian jurisdiction with a willingness to negotiate contracts governed by US law.
· A minimum of 5 to 6+ years’ experience drafting and negotiating commercial technology contracts (more experience welcome!).
· Excellent legal drafting skills.
· Excellent oral and written communication skills; must be able to communicate clearly and effectively with internal and external stakeholders on complex legal and commercial issues.
· Solution-oriented with a strong sense of business judgment.
· Ability to work in a fast-paced, demanding, deadline-driven environment and to respond appropriately to shifting priorities.
· Experience developing subject matter expertise in one or more areas that benefit Legal and/or our business.
· Experience in developing internal guidelines, toolkits, and packaged knowledge capital on various legal and business issues.
· Experience in supporting, promoting, and implementing Legal Group initiatives.
