Overview

Our client, a Canadian professional organization, is looking for an experienced lawyer to join their team as General Counsel.
Reporting to the Executive Director- Corporate Services, the General Counsel is part of the leadership team, and is responsible for providing ongoing strategic legal advice on corporate and regulatory issues to support the organization in carrying out their missions in compliance with applicable laws and regulations and at acceptable levels of risk.
The General Counsel will be involved in a wide range of activities, including assisting in the negotiation and finalization of contracts, privacy, regulatory and compliance related engagements, security and management of data, intellectual property and corporate liability related matters (including insurance/indemnity coverage, by-laws)
*Occasional travel to the GTA office may be required


Responsibilities

Your responsibilities will include:
• Overseeing and managing all legal matters (excluding HR related issues) of the organization including examinations, by-laws, and contracts
• Providing expert and strategic legal advice on a broad range of national/provincial regulatory and compliance matters, including identifying areas of risk and making suggestions for improvement
• Leading complex legal matters including working with leadership in the creation of defense strategies and/or proactive strategies regarding major legal actions
• Providing counsel and advice concerning compliance with legislation and regulations
• Holding the office of Privacy Officer and managing the organization’s privacy and enterprise risk management programs
• Developing organizational policies
• Developing contract templates and checklists for use by team members for a range of contracts including partnership agreements, services agreements, government contracts
• Reviewing all contracts and providing counsel and advice prior to their release for authorized signatures
• Participating as a member of the Senior Advisory Team
• Participating and reporting as a member of the Leadership Team in Board and Executive meetings
• Developing and maintaining collaborative relationships at all levels of the organization to build trust and confidence in the services provided
• Participating in the development and/or execution of special projects as required
• Participating on internal staff committees or working groups as required

Requirements

You are the ideal candidate if you have/are:
• 10+ years of relevant experience obtained as in-house counsel and/ or in private practice.
• JD/LL.B. and are a member in good standing of the Law Society of Ontario
• A good understanding of the Canadian regulatory landscape, privacy and disclosure law, and other relevant legal areas
• Excellent verbal and written communication skills, with the ability to express ideas and opinions clearly and effectively
• Excellent diplomatic and problem-solving skills and the ability to resolve highly controversial and/or sensitive issues
• Skilled at negotiating with vendors, insurance companies and other legal counsel
• Excellent analytical skills
• Able to work in a professional manner with all levels of staff and external parties
• Ability to work well under pressure and manage competing demands
• Bilingualism is an asset
• Experience in non-profit, education or charitable association is an asset
